Referral & Partner Program Terms

By participating in the ZaapIn Referral & Partner Program ("Program"), you ("Partner," "You") agree to the following terms and conditions as well as our Terms of Use, Privacy Policy, Refund Policy, and Sandbox Disclaimer. This program is exclusively designed for active ZaapIn SaaS users.

1. Eligibility & Participation

• Active Status: You must have an active, paid (or credit-funded) ZaapIn account to participate. Users on "Trial," "Suspended," or "Lapsed" status are ineligible.
• SaaS Users Only: This Program is for business users. Professional influencers and affiliate marketers must apply for a separate Affiliate Contract.
• Partner Cancellation: If you cancel your own ZaapIn subscription, you are immediately disqualified from the Program. Your wallet will be settled as per the "Inactive Rules" (See Section 5.2).

2. Geo-Fencing & Attribution

The Program operates on a strict geographic logic based on the billing country of both parties.

• Same-Country Referrals (Automated): If You and the Referee reside in the same country (e.g., India referring India), tracking and rewards are automated.
• Cross-Border Referrals (Manual): If You refer a user in a different country, automatic tracking does not apply. You must submit these via the "Global Partner Lead Form" in your dashboard.
• Attribution: Attribution is tracked via Referral Code auto-capture at signup. A 60-90 day cookie is used as a secondary safety net.

3. Reward Structure (Domestic)

For same-country referrals, the program consists of three phases:

Phase 1: New Business Credits (0–11 Referrals)

• Referrer Reward: Credit equal to 100% of the Referee's First Month Net Invoice.
• Referee Reward: Credit equal to 100% of their own First Month Net Invoice.
• Note: Credits are issued in the Referee's billing currency and exclude taxes.

Phase 2: Partner Status (12 Lifetime Referrals)

Upon reaching 12 total referrals, you unlock the "Partner" Badge, Directory Listing, and Financial Dashboard.

Phase 3: Recurring Income (12+ Active Referrals)

• Requirement: Maintain 12+ Active (Paying) Referrals.
• Reward: 10% Recurring Commission on the Net Invoice Value of active referrals.
• Payout: Real Money (Withdrawable) or Credits.

Annual Loyalty Bonus

Maintain Active Partner Status for 12 consecutive months to receive a lump-sum credit equal to 3 Months of your Current Plan Value.

4. Cross-Border Rewards (Manual Leads)

For referrals across different countries, the following standardized finder's fees apply:

• Small Deal (< $1,000/yr): One-time $50 Credit (converted to your local currency).
• Enterprise Deal (> $1,000/yr): One-time 15% Cash Payout of the First Year Contract Value.
• Tax Compliance: Non-resident partners must sign a "No Permanent Establishment (PE)" declaration to receive gross payouts without local tax deduction.

5. Financial Mechanics & Payouts

5.1. Universal Wallet

Credits act as "ZaapIn Cash" and can be used for Base Plans, Upgrades, SMS Packs, and Add-ons. Our billing system consumes funds in this strict order: 1) Credits → 2) Brokerage Balance → 3) Payment Method.

5.2. Operational Rules & Settlement

• Vesting Period: Commissions remain "Pending" for 30 days to cover the refund window.
• 60-Day Grace Period: If you drop below 12 Active Referrals, you enter a 60-day recovery window where you continue to earn. You must restore your count by Day 60.
• Demotion & Auto-Sweep: If you fail to recover, or if you cancel your own subscription, your status becomes "Inactive." Your wallet is immediately settled:
  • Balance < $10 USD equivalent: Auto-converted to Credits.
  • Balance > $10 USD equivalent: Processed for final Cash Payout.

5.3. Cash Withdrawals & Taxes

• Minimum Threshold: ₹1,000 (India) or $50 (Global).
• Taxes: ZaapIn will deduct Tax Deducted at Source (TDS) as per applicable laws (e.g., Section 194H/194J in India). Mandatory KYC (PAN/Tax ID) is required.

5.4. The Ecosystem Multiplier

You may convert Cash Commission to Wallet Credits with a bonus (+10% to +15%) based on your active referral count. This bonus is considered a taxable perquisite under Section 194R where applicable.

6. Fraud & Data Rights

• Prohibited: Self-referrals (matching PAN/IP/GSTIN) are strictly blocked. Bidding on ZaapIn branded keywords is prohibited.
• Data Rights (GDPR): If you exercise your "Right to be Forgotten" and request data deletion, your referral linkages and history will be permanently erased. This action is irreversible and results in the forfeiture of all future earnings and status.
